Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Vigil website monitoring service provided at vigilmon.online ("Service"), operated by IMR RESEARCH AND DEVELOPMENT PTY LTD, registered in England and Wales (company number 15715075) ("we", "us", "our").

By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms are governed by the laws of England and Wales.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter a binding contract. If you are registering on behalf of a business entity, you warrant that you have authority to bind that entity.

3. Account registration

  • You must provide accurate and up-to-date information at registration.
  • You are responsible for keeping your password confidential and for all activity under your account.
  • You must notify us immediately at legal@vigilmon.online if you suspect unauthorised access.

4. Service description and plans

Vigil provides automated monitoring of websites, APIs, and services, including uptime checks, SSL expiry alerts, response-time tracking, and public status pages. The specific features available depend on your chosen plan (Free, Pro, Business, or Enterprise).

All prices are displayed and charged in USD. Any applicable taxes (including UK VAT where required) will be shown separately at checkout.

5. Payment and billing

  • Paid plans are billed in advance on a monthly or annual basis.
  • Payments are processed by Stripe. By subscribing you also accept Stripe's Terms of Service.
  • B2B customers in the UK and EU may be required to provide a valid VAT number at checkout. Prices shown exclude VAT; VAT will be added where applicable.
  • Invoices will be issued in the name of IMR RESEARCH AND DEVELOPMENT PTY LTD.
  • If a payment fails we will notify you and may suspend access to paid features until payment is resolved.

6. Cancellations and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until that date. We do not offer pro-rata refunds for unused time, except where required by applicable UK consumer law.

UK consumers have a 14-day right of withdrawal from the date of purchase unless digital content delivery has begun with your prior consent. To exercise this right, contact legal@vigilmon.online.

7. Acceptable use

You agree not to:

  • Use the Service to monitor services you do not own or have explicit permission to monitor.
  • Use the Service in a way that places excessive load on monitored servers (high-frequency checks beyond your plan limit).
  • Attempt to reverse-engineer, scrape, or circumvent any security measures of the Service.
  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Resell or sublicense access to the Service without our written consent.

8. Availability and SLA

We aim to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where practicable. Enterprise plans include a separate SLA; all other plans rely on commercially reasonable efforts.

9. Data and privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. We act as data controller for account and usage data and as data processor for any personal data within URLs or monitor responses you configure.

10. Intellectual property

The Service, including all software, trademarks, and content, is owned by or licensed to IMR RESEARCH AND DEVELOPMENT PTY LTD. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. Nothing in these Terms transfers any IP rights to you.

11. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

12. Termination

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your access to the Service ceases and we will delete or anonymise your data in accordance with our Privacy Policy.

13. Changes to these Terms

We may modify these Terms at any time. We will give at least 30 days' notice of material changes via email or a notice on the Service. Continued use after the effective date constitutes acceptance. If you disagree with changes, you may cancel your subscription before they take effect.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that UK consumers may also bring proceedings in the courts of the country where they live.
